SOCIAL PHOTOGRAPHER LIMITED — TERMS & CONDITIONS

These Terms & Conditions apply to all photography and video services supplied by Social Photographer Limited (“the Agency”).

The Agency trades as Social Photographer and Kit Oates Photography.

Any reference to “Photographer” includes Christopher “Kit” Oates and any employee, freelancer, or subcontractor engaged by the Agency.

1. APPLICATION OF TERMS

These Terms apply to:

  • all Assignments undertaken by the Agency

  • all Usage Licences granted

  • all estimates, bookings, invoices, and deliverables

These Terms override any Client purchase order terms unless agreed in writing.

Confirmation of an Assignment by email, message, purchase order, or booking confirmation constitutes acceptance of these Terms and forms a legally binding contract.

2. DEFINITIONS

Client — the commissioning party
Assignment — the commissioned photography or video services
Material — all still and moving images created
Licensed Images — images delivered to the Client
Usage Licence — permission to use Licensed Images
Fee — the agreed Assignment fee
Estimate — written quotation issued by the Agency
Working Day — weekday excluding UK bank holidays

3. ESTIMATES

Estimates are based on Client-supplied information.

Changes to brief, schedule, or scope may result in additional Fees or expenses.

Agreement of shoot dates constitutes acceptance of the Estimate.

4. CONDUCT OF THE SHOOT

The Photographer will follow reasonable Client instructions.

If no Client representative is present, the Photographer’s interpretation of the brief is deemed correct.

All shot lists must be confirmed in writing or on set.

Client delays do not extend the booked shoot duration.

5. WORKING DAY & OVERTIME

Standard day: up to 8 hours between 9am–5pm.

Half day: up to 4 hours.

Overtime may be charged beyond the agreed duration.

Crew, studio, and supplier overtime will be charged according to supplier terms.

6. CANCELLATION

A booking is confirmed once a shoot date and fee are agreed by email, message, booking system, or written confirmation.
Confirmation of a booking constitutes acceptance of these Terms and forms a legally binding agreement with Social Photographer Limited.

Cancellation fees represent a genuine pre-estimate of the Agency’s loss.

For Assignments of two days or fewer:

Less than 7 working days notice:
100% of Fees plus all incurred or committed expenses

7–14 working days notice:
75% of Fees plus expenses

More than 14 working days notice:
50% of Fees

For Assignments exceeding two days:

Notice less than or equal to the booked duration:
100% Fee plus expenses

Notice greater than duration but less than double duration:
75% Fee

More than double duration:
50% Fee

Rescheduling may be offered at the Agency’s discretion.

7. DELIVERY

The Agency will deliver Material within a reasonable timeframe.

Final delivery of Licensed Images is conditional upon payment in full.

The Client may not reject Material based on style or composition.

8. STORAGE

The Client is responsible for storing delivered files.

The Agency is not obligated to archive Material but may retain files temporarily.

9. COPYRIGHT

All copyright remains with Social Photographer Limited.

No copyright is transferred to the Client.

Use without a valid licence or payment constitutes copyright infringement.

10. EVENT PHOTOGRAPHY USAGE LICENCE

For event photography assignments, the Client receives a non-exclusive licence for:

  • website use

  • social media

  • PR and press

  • internal communications

  • editorial promotion of the event

Duration: 2 years from delivery

Images published during this period may remain published indefinitely in archives, websites, press articles, and social media.

No new usage may be created after licence expiry without permission.

This licence excludes:

  • advertising campaigns

  • paid media

  • brand endorsements

  • resale

  • stock licensing

  • third-party commercial use

11. COMMERCIAL / CAMPAIGN USAGE

For commercial photography or video production, usage is limited to the duration, media, and territory specified in the Estimate.

Additional usage requires additional fees.

12. THIRD-PARTY RIGHTS

The Client is responsible for securing:

  • model releases

  • location permissions

  • brand permissions

  • music licences

  • contributor permissions

The Agency is not responsible for third-party rights clearance unless agreed.

13. CREDIT

Editorial usage should include:

social-photographer.com
@socialphotographerLDN

where reasonably possible.

14. PAYMENT

Invoices are payable within 14 days.

Production expenses may be required in advance.

Usage rights are granted only after full payment.

Late payments may incur statutory interest under the Late Payment of Commercial Debts Act.

VAT is payable where applicable.

15. EXPENSES

Travel, accommodation, hire, assistants, and production costs are billed separately unless included in the Estimate.

Expenses may require advance payment.

16. FAILURE TO PERFORM

If the Photographer cannot attend due to illness, injury, accident, or unforeseen circumstances, the Agency will attempt to provide a replacement photographer.

If this is not possible, liability is limited to refund of Fees paid.

17. INDEMNITY

The Client indemnifies the Agency against claims arising from:

  • misuse of images

  • failure to obtain permissions

  • usage beyond licence terms

18. LIMITATION OF LIABILITY

The Agency is not liable for:

  • loss of profit

  • loss of business

  • consequential damages

Maximum liability is limited to the Fees paid.

Nothing excludes liability for death, personal injury, or fraud.

19. CONFIDENTIALITY

Both parties agree to keep Assignment information confidential.

20. FORCE MAJEURE

The Agency is not liable for delays caused by events beyond reasonable control.

21. GOVERNING LAW

These Terms are governed by the laws of England and Wales.
